These general terms and conditions and terms of use ("Terms") apply to all services, quotes, assignments, agreements and invoices of SendNet, as well as to every visit to and use of the website au.send-net.com, the track & trace environment and all other online services (together: the "Website"). SendNet is a a trading name of SendNet Australia Pty Ltd, of 159 Studley Ct, DERRIMUT VIC 3026, Australia, ABN [TO BE COMPLETED], ACN [TO BE COMPLETED] (hereinafter: "SendNet", "we", "us" or "our"). By using our services or the Website you accept these Terms. Please read them carefully.
In these Terms the following definitions apply:
These Terms apply to all legal relationships between SendNet and the Client or the User, unless expressly agreed otherwise in writing. The applicability of any purchasing or other terms of the Client is expressly rejected. In the event of conflict between these Terms and a written individual agreement, that individual agreement prevails.
SendNet is entitled to amend or supplement these Terms at any time. The amended Terms take effect at the moment of publication on the Website or at the time stated in the notice. The most current version is always available on this page. By continuing to use the Services or the Website after a change, you accept the amended Terms.
Deel A — DienstverleningAll quotes and offers from SendNet are without obligation and based on the information provided by the Client information, unless expressly stated otherwise. An agreement is formed at the moment SendNet assignment in writing (including by email) or actually begins performing it. The The Client warrants the accuracy and completeness of the information it provides.
SendNet performs the assignment to the best of its knowledge and ability and in accordance with the standards of good workmanship. Stated deadlines and (expected) delivery times are indicative and never constitute strict deadlines, unless expressly agreed otherwise in writing. SendNet is entitled to outsource performance of the assignment in whole or in part to third parties, including carriers, or have them performed by third parties.
All prices and rates are in Australian dollars and exclusive of GST, unless otherwise stated. Rates are set on an individual basis, taking into account weight, dimensions, quantity, destination and the Services required. Invoices must be paid within fourteen (14) days of the invoice date, to the account number stated on the invoice quoting the invoice number, with no right of set-off or suspension, unless mandatory law provides otherwise.
All goods delivered and to be delivered by SendNet remain the property of SendNet until the Client has met all obligations under the relevant agreement, including payment in full. The Client is not entitled to dispose of, encumber or otherwise remove the goods subject to retention of title from SendNet's recourse.
From the moment of dispatch, the risk of loss of or damage to the goods passes to the the Client. Save in cases of intent or wilful recklessness, SendNet's liability is limited to the invoice amount of the assignment concerned, or — if higher — to the amount that in the case concerned is paid out by SendNet's liability insurance. SendNet is never liable for indirect damages, including consequential loss, lost profits, missed savings and business interruption.
If the payment term is exceeded, the Client is in default by operation of law, without any further notice of default being required. From that moment the Client owes statutory commercial interest, as well as all reasonable judicial and extrajudicial costs connected with the collection of the vordering.
SendNet is not obliged to perform any obligation where prevented from doing so by force majeure, which includes: disruptions to telecommunications or internet connections, cyberattacks, power outages, transport disruptions, extreme weather, government measures, pandemics and other circumstances reasonably beyond its control.
Part B — Use of the WebsiteYou may use the Website only for legitimate purposes, in accordance with these Terms and with all applicable laws and regulations. You are responsible for the equipment, software and internet connection needed to use the Website, and for their security.
The status information, time windows and expected delivery times in the track & trace environment are compiled with the greatest possible care, but are indicative and may change at any time. No rights may be derived from this information. You must treat your tracking number as confidential and not share it with unauthorised parties share it.
All intellectual property rights relating to the Website and the Content vest exclusively in SendNet or its licensors. You may not copy, reproduce, modify, distribute, publish or otherwise use the Content in whole or in part, except to the extent mandatory law permits it or with SendNet's prior written consent.
When using the Website you are in particular not permitted to:
SendNet endeavours to keep the Website available and up to date, but does not guarantee uninterrupted availability or error-free operation. We may at any time and without prior notice to modify, suspend, limit or discontinue it, including for maintenance, updates or business reasons, without incurring any liability.
The Website may contain links to third-party websites or services. SendNet has no control over and is not responsible for the content, policies or practices of these third parties. Use of them is at your own risk.
The Website and the Content are provided "as is" and "as available", without any express or implied warranty. SendNet is not liable for damage arising from or connected with the use of, or inability to use, the Website or the information shown on it, except in cases of intent or wilful recklessness, and except where mandatory law provides otherwise.
Part C — General provisionsYou indemnify SendNet against all third-party claims connected with or arising from your use of the Services or the Website in breach of these Terms or of applicable laws and regulations, and will compensate all related damage and costs, including reasonable legal costs.
SendNet is entitled, without prior notice and without being liable for any compensation, to suspend or terminate performance of the Services or access to the Website if the Client or User acts in breach of these Terms or of applicable laws and regulations.

If you discover a vulnerability in the Website or our systems, please report it responsibly in line with our responsible disclosure beleid, so we can take appropriate measures.
If any provision of these Terms proves to be void, voidable or otherwise unenforceable, the remaining provisions remain in full force. The parties will replace the provision in question with a valid provision that reflects the intent of the original provision as closely as possible.
SendNet's failure to enforce, or to enforce immediately, any right under these Terms may not be construed as a waiver of that right.
SendNet is entitled to transfer its rights and obligations under these Terms in whole or in part to a third party. The Client or User may not transfer its rights and obligations without prior written consent from SendNet.
Complaints about the Services or the Website must be notified in writing to SendNet as soon as possible, and in any event within a reasonable time after discovery, using the contact details below. We endeavour to handle complaints carefully and within a reasonable period.
These Terms and all agreements, invoices and use of the Website are governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of the courts of that State and the courts competent to hear appeals from them, unless a mandatory provision of law — including the Australian Consumer Law — designates a different forum. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law.
